Terms of Service

Welcome to TeachNest, a marketplace where Filipino educators discover, buy, and sell teaching resources. By creating an account or using the platform, you agree to these Terms. If you do not agree, please do not use TeachNest.
1. Accounts
You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account. You must be able to form a binding contract to use TeachNest.
2. Buying resources
When you buy a resource, you receive a single-user, single-classroom license for your own teaching use. Unless the listing states otherwise, you may not redistribute, resell, sublicense, or publicly share the file. Downloaded files may be watermarked with your account details for traceability.
All sales are final — no refunds, except where a file is corrupt, undeliverable, or materially not as described, or where you were charged in error. Nothing here removes rights you may have under the Consumer Act of the Philippines (RA 7394).
3. Selling resources
By publishing a resource, you certify and warrant that you created it and own the copyright, or you otherwise hold all rights necessary to sell and license it, and specifically that:
- The instructional content and layout are your own original work.
- The resource is not a work made for hire owned by your school, employer, or any other party, and is not subject to a copyright-assignment agreement.
- It is not an official government or DepEd publication — for example Self-Learning Modules (SLMs), Teacher’s Guides, Learner’s Materials, official division or regional examinations, or commissioned learning-resource packages.
- It does not contain third-party copyrighted content without the right to sell it — such as textbook scans or pages, other people’s worksheets, or logos, images, or fonts you don’t have commercial rights to.
- Any third-party design assets (icons, illustrations, photos, fonts) are used only under a licence that permits commercial use, are woven into your own original resource, and are not resold on their own or as a collection of assets.
- The content is accurate, appropriate for an education marketplace, and not spam, malware, or misleading.
If a resource was ever submitted to a school or government body, you confirm you retained the right to sell it commercially. Keep your source files in case ownership is ever questioned.
You agree to indemnify TeachNest against claims arising from content you upload. Every resource is reviewed before it goes live; we may reject, remove, or take down content and suspend repeat infringers at our discretion.
4. Payments, commission & payouts
TeachNest collects payment from buyers and remits your earnings net of our platform commission and any taxes we are required to withhold. Payouts are made to your nominated GCash, Maya, or bank account subject to the minimum payout threshold and payout schedule shown in your dashboard. You are responsible for your own tax obligations.
5. Prohibited conduct
- Infringing intellectual property or privacy rights.
- Uploading harmful, unlawful, or deceptive content.
- Attempting to circumvent payment, access controls, or fees.
- Scraping, disrupting, or abusing the platform.
6. Intellectual property
Sellers retain ownership of their content. The TeachNest name, design, and software are ours. Buyers receive only the license described above.
7. Disclaimers & liability
TeachNestis provided “as is.” We do not guarantee that any resource is fit for a particular purpose. To the maximum extent permitted by law, our liability for any claim is limited to the amount you paid for the resource giving rise to the claim.
8. Changes & termination
We may update these Terms; material changes will be posted here with a new effective date. We may suspend or terminate accounts that violate these Terms.
9. Governing law
These Terms are governed by the laws of the Philippines. Disputes are subject to the courts of the Philippines.
